Terms of Service
Last Updated: July 8, 2026
1. Services Overview
1.1 Subscription Engineering & Design Services
Ongoing Execution: Continuous technical development and design support delivered on a flexible monthly subscription basis.
Pipeline Management: One active engineering or design request is processed at any given time.
Iterative Refinement: Unlimited structural revisions provided within the active project scope.
Delivery Velocity: Average turnaround time of 2–3 business days per standard request, utilizing AI-native workflows to maximize development velocity.
Billing Cycle: Monthly subscription models operate on automatic renewal parameters.
1.2 Project-Based Services
Custom Scoping: Fixed-scope engineering initiatives and full-scale product builds quoted individually.
Defined Deliverables: Technical specifications, database blueprints, and exact deliverables established prior to sprint initialization.
Revision Parameters: Specific revision caps explicitly outlined within the initial project proposal.
Milestone Timelines: Agreed-upon development timelines set prior to project commencement.
2. Service Terms
2.1 Subscription Parameters
Commitment Structure: Month-to-month subscription engagement with zero mandatory long-term commitments.
Cancellation Notice: A strict 30-day notice is required to fully terminate subscription renewals.
Pause Mechanism: Account pausing is accessible with a 15-day formal notice.
Use-It-or-Lose-It: Unused technical hours or capacity do not roll over into subsequent billing cycles.
Account Isolation: Subscription services are non-transferable to external third parties.
2.2 Project-Based Parameters
Commencement Deposit: A mandatory 50% upfront deposit is required to initiate technical sprints or architecture planning.
Final Clearance: Remaining balances must be fully cleared before the transfer of production source files or live environment handover.
Timeline Trigger: Project schedules officially begin upon the synchronized receipt of the initial deposit and all necessary technical client assets.
Expedited Sprints: Rush fees will apply for accelerated delivery timelines requested outside standard operational constraints.
3. Scope of Work
3.1 Included Services
Engineering & Architecture: Applied AI augmented development, React/TypeScript web setups, Supabase backend engineering, and cross-platform mobile apps (React Native/Expo).
Infrastructure Management: Multi-tenant cloud configurations, reverse-proxy setups, and automated host environment provisioning.
Brand & Interface Design: Corporate brand identity manuals, visual assets, high-fidelity UI/UX prototyping, and conversion-focused digital designs.
Hardware Integration: IoT system architecture, edge computing gateway telemetry, and hardware-software system integration.
3.2 Excluded Services
Copywriting: Narrative development and legal text generation.
Media Production: Raw photography, heavy video production, and commercial sound engineering.
Advanced Rendering: Photorealistic 3D environment modeling or heavy cinematic visual effects.
4. Client Responsibilities
4.1 Required Materials
Asset Provisioning: Delivery of existing brand guidelines, structural database requirements, high-resolution visual assets, and comprehensive project briefs.
Operational Velocity: Timely feedback and approvals to maintain optimal sprint momentum.
4.2 Communication
Centralized Contact: Assignment of a single point of contact for unified project management and direction.
Feedback Window: Responses and testing feedback must be provided within 3 business days of a milestone delivery.
Revision Clarity: Clear, actionable, and structured articulation of all requested revision parameters.
5. Intellectual Property
5.1 Rights and Ownership
Ownership Transfer: Full, exclusive ownership of final codebases, database schemas, and visual assets transfers to the client automatically upon final milestone payment clearance.
Preliminary Concepts: The engineer retains complete ownership and rights over all preliminary concepts, discarded code forks, or unselected design directions.
Portfolio Rights: The engineer maintains the permanent right to showcase the completed work, generalized technical frameworks, and visual interfaces within professional portfolios unless bound by a strict, pre-signed custom NDA.
Compliance & Research: The client bears full responsibility for conducting legal trademark, copyright, and industry-specific regulatory compliance research (e.g., NDPR, HIPAA, FHIR).
5.2 Source Files & Deliverables
Standard Delivery: Code frameworks are delivered in standard production-ready formats, compiled source files, or direct deployment branch handovers.
Raw Working Files: Design source files or proprietary internal configuration scripts remain accessible for an additional structural fee.
6. Revisions and Amendments
6.1 Subscription Revisions
Scope Boundaries: Unlimited adjustments are provided as long as they stay within the original active request boundaries.
Pivot Parameters: Major shifts in technical direction or total architectural changes are classified as entirely new requests.
Expiration Window: All revision requests must be submitted within 14 days of an active branch delivery.
6.2 Project Revisions
Quota Enforcement: The exact number of inclusive revisions is governed strictly by the parameters set in the project quote.
Out-of-Scope Work: Additional iterations beyond the initial quota are billed at a standard technical hourly rate.
Scope Shifts: Structural changes to the original blueprint require an official quote amendment before work resumes.
7. Termination
7.1 Subscription Termination
Written Notice: Written termination notice must be submitted 30 days prior to the next billing date.
Pro-Rated Terms: Pro-rated refunds are applicable only to the entirely unutilized, uncommitted portions of the current billing tier.
Active Handover: Ongoing sprints at the time of notice must either be completed within the remaining window or formally terminated.
7.2 Project Termination
Kill Fee: A mandatory 25% kill fee applies if an active project is terminated by the client prior to completion.
Asset Settlement: Completed work modules paid for prior to termination remain client property; uncompensated engineering blueprints remain with the engineer.
Deposit Policy: Initial commencement deposits are strictly non-refundable once engineering sprints or discovery phases have begun.
8. Payment Terms
8.1 Subscription Payments
Automated Billing: Payments are processed via auto-pay architectures on the exact recurring calendar date of subscription setup.
Service Halts: Overdue balances automatically pause all active technical sprints, deployment pipelines, and support channels.
Failed Transactions: Failed transaction attempts that cause administrative overhead will incur a fixed $25 remediation fee.
8.2 Project Payments
Milestone Split: A standard 50% deposit is due upon contract execution, with the remaining 50% required before final database migration, source code transfer, or production deployment.
Late Interest: Overdue invoices accrue financing interest at a rate of 1.5% per month compounded daily.
9. Confidentiality
Non-Disclosure: Strict protection and non-disclosure of proprietary client data, business operational frameworks, and user metrics.
Secure Infrastructure: Implementation of secure storage frameworks and zero-cached local session parameters during production design phases.
Project Privacy: Project metrics and operational configurations remain private unless explicit marketing authorization is granted by the client.
10. Limitation of Liability
Financial Cap: Total legal and operational liability is strictly capped at the maximum financial fees paid by the client for the specific project or subscription cycle in question.
Third-Party Dependencies: No responsibility is assumed for downtime, data losses, or disruptions caused by external third-party entities, including cloud hosts (e.g., Supabase, AWS), cPanel node failures, or domain providers.
Business Results: While platforms are engineered to be market-optimized and structurally sound, there is no implied or explicit guarantee of specific commercial metrics, user signups, or financial outcomes.
11. Dispute Resolution
Amicable Resolution: Parties agree to enter into good-faith negotiations as the mandatory primary step to resolve any technical or financial dispute.
Mediation Path: Binding professional mediation must be pursued before any escalation to formal litigation.
Jurisdiction: These terms are governed strictly by the laws and legal frameworks of the designated region specified in the final Service Level Agreement (SLA).
12. Modifications
Adjustment Window: Terms may be updated periodically, with clients receiving a 30-day notice prior to the implementation of new terms.
Consent: Continued engagement of development services or interaction with project environments following updates constitutes complete binding acceptance of the new terms.
